These terms apply to contracts for the products specified in the quotation, including expressly agreed personalisation, with consumers and business customers. A consumer acts predominantly for private purposes; a business customer acts in the course of business or professional activity. Individual agreements take precedence. Mandatory consumer rights remain unaffected.
2 Enquiries and contract formation
Product descriptions and submission of the enquiry form do not constitute an order. Storage of an enquiry or allocation of a reference number does not constitute acceptance of a contract.
After reviewing your enquiry, we provide an individual quotation specifying the scope, total price, additional costs and delivery terms. The contract is concluded when we receive your unmodified acceptance within the stated acceptance period, for example by email. If no period is stated, statutory acceptance periods apply. Changes require a further agreement. These terms and required consumer information are provided in a form that can be stored before conclusion of the contract. The contract language is German unless another language is agreed.
3 Products and technical requirements
The agreed variant and description, together with legally relevant public statements, determine the product requirements. The temperature sensor for continuous transmission and the Data Backfill logger are different variants. Both transmit to the cloud through a reachable Cloud Connector. The sensor does not connect directly to the internet by Wi-Fi or cellular network.
Both sensor variants require an active, paid sensor subscription with Disruptive Technologies for cloud transmission and Studio. Cellular operation of the Cloud Connector requires an additional Connector subscription. Under the current model, Ethernet-only Cloud Connectors do not require their own Connector subscription; sensor subscriptions remain necessary. Data Backfill bridges offline periods but does not replace the subsequent stable cloud connection and active sensor service. Standalone local retrieval without the cloud is not offered for these variants.
4 Prices and payment
The prices in the individual quotation apply. Consumer prices include all applicable taxes and charges. Shipping and other foreseeable additional costs are disclosed before conclusion of the contract.
Unless otherwise agreed in the quotation, payment is due in advance by bank transfer within 14 days of receipt of the invoice. Goods are dispatched after receipt of payment. Other payment terms require express agreement. No payments are taken through this website.
5 Delivery and ownership
We deliver within Germany unless a different delivery area is agreed in the quotation. Orders are normally dispatched together. Shipping costs and a binding delivery date or sufficiently defined delivery period are stated in the quotation. For advance payments, the agreed delivery period takes account of the time allowed for payment. Required artwork and any agreed approval for personalised products are coordinated before production. Changes to delivery dates require agreement; statutory rights in the event of delay remain unaffected.
Transfer of risk is governed by statutory provisions; shipping risk is not generally transferred to consumers. Goods remain our property until their respective purchase price has been paid in full.
6 Personalisation and CAD
The logo, company name, design and extent of personalisation are agreed before production. An agreed approval drawing supports coordination and does not restrict statutory defect rights. You must be entitled to provide logos, names and artwork for the agreed production. Other uses, such as advertising, require separate authorisation. The quotation expressly states whether CAD files are supplied or used only for production.
7 Installation and measurement task
Installation, thermal contact, pipe material and operating conditions affect measurements. A sensor mounted externally on a pipe measures temperature at its measurement point; equating this with water temperature requires professional assessment. No general VDI certification or automatic compliance of an installation is promised. Agreed installation, advice and suitability services and statutory responsibilities remain unaffected.
8 Cloud and digital elements
The cloud and Studio are provided by Disruptive Technologies. SmartSensio does not operate its own cloud platform. The quotation expressly states whether the required sensor service is included, for what period, through whom it is purchased and billed, and which recurring costs apply. Additional paid or renewing services require express agreement with prior disclosure of costs, terms and cancellation conditions. An enquiry does not activate a subscription.
Where a separate contract with a service provider is required, the provider, terms and process are disclosed before purchase. These terms do not replace that provider’s conditions. Statutory requirements for goods with digital elements, including supply and updates, apply. Statutory seller obligations do not cease merely because digital services are provided by a third party.
9 Defect rights and liability
Statutory provisions govern defects, remedies, other claims and liability. An additional guarantee exists only where expressly granted; statutory defect rights apply independently of it.
10 Withdrawal and complaints
Consumers have statutory withdrawal rights for qualifying distance contracts. Details are set out in the withdrawal notice and model form. An exclusion for custom-made goods applies only where statutory conditions are met. Please send complaints to info@smartsensio.de or our business address.
